AGREEMENT TO CLIPWING TERMS

These Clipwing Terms of Service ("Terms") are a legally binding agreement between you and Paralect Inc. ("Company," "we," "us," or "our") governing your access to and use of Clipwing.

Clipwing is a video marketplace and workflow platform available at https://auto.clipwing.pro/ and related websites, applications, and services that link to these Terms (collectively, the "Services"). Clipwing helps clients submit videos, editors create short-form clips, clients review and approve clips, and approved clips be scheduled or published to connected third-party accounts such as TikTok, YouTube, Facebook, and Instagram.

By accessing or using Clipwing, creating an account, connecting a third-party account, uploading content, scheduling content, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use Clipwing.

The Services are intended for users who are at least 18 years old. Persons under 18 may not use or register for Clipwing.

1. CLIPWING SERVICES

Clipwing provides tools for:

• Creating and managing video clip production tasks.
• Uploading, processing, transcribing, editing, reviewing, and delivering video clips.
• Managing threaded review and approval workflows.
• Connecting supported social media accounts.
• Scheduling approved clips for publication to supported platforms, including TikTok, YouTube, Facebook, and Instagram, when you choose to use those features.

Clipwing may change, suspend, or discontinue any part of the Services at any time. We may also set limits on features or access where needed for security, compliance, platform requirements, or service reliability.

2. ACCOUNT REGISTRATION AND SECURITY

You may need to create a Clipwing account to use the Services. You agree to provide accurate, current, and complete account information and keep it updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately if you suspect unauthorized access to your account.

3. CLIENTS, EDITORS, AND WORKSPACE USE

Clipwing supports different user roles, including clients and editors. Your access to tasks, clips, schedules, and connected accounts may depend on your role and workspace permissions.

You are responsible for inviting only authorized users to your workspace and for ensuring your users comply with these Terms.

4. USER CONTENT

"User Content" means videos, audio, scripts, captions, thumbnails, comments, review messages, schedules, metadata, connected account selections, and other content or information you submit, upload, create, approve, or make available through Clipwing.

You retain ownership of your User Content. You grant Clipwing a worldwide, non-exclusive, royalty-free license to host, store, process, transcribe, copy, display, transmit, modify, and use User Content as needed to provide, secure, improve, and support the Services.

You represent and warrant that:

• You own or have all rights, licenses, permissions, and consents needed to upload, process, edit, approve, schedule, publish, and otherwise use User Content through Clipwing.
• Your User Content and use of Clipwing do not infringe intellectual property, privacy, publicity, contractual, or other rights of any person or entity.
• Your User Content and use of Clipwing comply with applicable laws and the terms, policies, community guidelines, developer requirements, music rules, and advertising rules of every connected platform you use.

5. CONNECTED SOCIAL ACCOUNTS

Clipwing lets you connect supported third-party accounts, including TikTok, YouTube, Facebook Pages, and Instagram professional accounts, so you can schedule or publish approved clips from Clipwing.

When you connect a third-party account, you authorize Clipwing to access and use that account only as permitted by the permissions you approve and only to provide the connected account features you request. This may include reading account and channel information, securely storing authorization tokens, discovering Facebook Pages, connecting Instagram professional accounts directly, preparing publish requests, uploading videos, setting captions and visibility options, checking publish status, and displaying connected account status inside Clipwing.

Your relationship with TikTok, YouTube, Google, and other third-party platforms is governed by your agreements with those platforms. Clipwing is not responsible for third-party platform decisions, availability, API behavior, outages, content moderation, account restrictions, publishing delays, or policy enforcement.

You may disconnect a connected account in Clipwing settings where available, revoke Clipwing access through the third-party platform, or contact us at [email protected]. Disconnecting may stop future scheduling or publication through that account but may not remove content already submitted to or published by a third-party platform.

6. TIKTOK FEATURES

If you connect TikTok to Clipwing, you authorize Clipwing to use TikTok developer services and TikTok APIs to perform actions you request, including preparing and submitting clips for TikTok publishing.

You remain responsible for TikTok content, captions, visibility settings, account selection, scheduling choices, and compliance with TikTok's terms, community guidelines, music rules, advertising rules, branded content rules, and all applicable laws.

Clipwing may refuse, pause, cancel, or remove TikTok-related functionality for content or activity that appears unlawful, unauthorized, infringing, abusive, misleading, spam-like, unsafe, or inconsistent with TikTok requirements or these Terms.

7. FACEBOOK AND INSTAGRAM FEATURES

If you connect Facebook or Instagram, you authorize Clipwing to use Meta Platform APIs through separate Facebook and Instagram authorization flows, store the access token and granted permissions needed for that connection, and publish approved clips as Facebook or Instagram Reels when you schedule or request publication.

Clipwing will not publish to Facebook or Instagram unless you or an authorized Clipwing workspace user selects the connected account and schedules or requests that publication. Publishing to a Facebook Page is public. You remain responsible for the selected accounts, content, captions, schedules, music and other rights, and compliance with Meta's terms, policies, and community standards.

You may disconnect the account in Clipwing, revoke Clipwing in Facebook's Apps and Websites settings, or request deletion using https://auto.clipwing.pro/legal/data-deletion. Disconnecting or revoking access stops future publishing but does not delete content already published on Facebook or Instagram.

8. PROHIBITED ACTIVITIES

You agree not to:

• Use Clipwing for illegal, unauthorized, harmful, abusive, deceptive, defamatory, obscene, or infringing purposes.
• Upload or publish content you do not have permission to use.
• Violate TikTok, YouTube, Google, Meta, Facebook, Instagram, or other third-party platform terms or policies.
• Circumvent, disable, reverse engineer, overload, disrupt, or interfere with Clipwing security, access controls, infrastructure, or service operation.
• Use bots, scraping, automated abuse, credential stuffing, spam, or other unauthorized automation.
• Misrepresent your identity, affiliation, authority, permissions, or rights in content.
• Use Clipwing to collect, process, or publish sensitive personal data without all required rights, notices, consents, and legal basis.
• Remove, alter, or obscure copyright, attribution, watermark, platform disclosure, or rights-management information without authorization.

9. PAYMENTS AND SUBSCRIPTIONS

Some Clipwing features may require payment. If you purchase a paid plan, you agree to provide accurate billing information and authorize us or our payment processor to charge applicable fees, taxes, and recurring subscription amounts.

Unless stated otherwise at checkout, subscriptions renew automatically until canceled. You can cancel through your account where available or by contacting [email protected]. Cancellation takes effect at the end of the then-current billing period unless we state otherwise.

10. INTELLECTUAL PROPERTY

Clipwing, the Services, software, workflows, website content, design, logos, trademarks, and related materials are owned by or licensed to Paralect Inc.. Except for your User Content, no rights are transferred to you except the limited right to access and use Clipwing under these Terms.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from Clipwing except as expressly allowed by law or by written permission from us.

11. PRIVACY

Your use of Clipwing is also governed by the Clipwing Privacy Policy available at https://auto.clipwing.pro/legal/privacy. The Privacy Policy explains how Clipwing collects, uses, stores, shares, and protects information, including information related to connected TikTok, YouTube, Facebook, and Instagram accounts.

12. COPYRIGHT AND INFRINGEMENT CLAIMS

We respect intellectual property rights. If you believe content on Clipwing infringes your rights, contact us at [email protected] with enough information to identify the content, your rights, and your contact details.

We may remove or restrict access to content, suspend users, or terminate accounts where we believe content or activity violates these Terms or applicable law.

13. SERVICE AVAILABILITY

Clipwing is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted, secure, or error-free operation. Scheduled publication depends on Clipwing systems, third-party APIs, third-party platform review, and platform availability.

14. DISCLAIMERS

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that content will be accepted, published, ranked, monetized, or remain available on TikTok, YouTube, or any other third-party platform.

15. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Paralect Inc. and its directors, officers, employees, contractors, agents, affiliates, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, account restriction, content removal, or third-party platform decisions arising from or related to Clipwing.

16. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Paralect Inc. and its directors, officers, employees, contractors, agents, affiliates, and suppliers from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from or related to your User Content, your use of Clipwing, your connected accounts, your violation of these Terms, your violation of third-party platform terms, or your violation of any law or third-party right.

17. TERMINATION

We may suspend or terminate your access to Clipwing at any time if we believe you violated these Terms, created risk or possible legal exposure, misused connected account functionality, or used Clipwing in a way that may harm users, Clipwing, third-party platforms, or others.

You may stop using Clipwing at any time. You may request account deletion by contacting [email protected].

18. CHANGES TO THESE TERMS

We may update these Terms from time to time. We will post updated Terms on this page and update the "Last updated" date. Your continued use of Clipwing after changes become effective means you accept the updated Terms.

19. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Courts located in Delaware will have jurisdiction over disputes arising from or related to these Terms, unless applicable law requires another venue.
